We are pleased to announce that GLORY LTD. has formed a capital and business alliance with Showcase Gig Inc. (head office: Kita-Aoyama, Minato-ku, Tokyo; CEO: Takefumi Nitta; hereinafter "SCG"), which operates the mobile ordering platform, "O:der", and provides OMO (Online Merges with Offline) ^*1 solutions.

1. Purpose of Capital and Business Alliance

Under its Long-Term Vision 2028, Glory is working to expand its new business areas through a digital transformation strategy that will enable it to use data analytics technology to create new value in response to the needs of its customers and society.
SCG is engaged primarily in the business of ordering platforms that provide mobile and table ordering services specifically to dining and drinking establishments. Taking advantage of its strengths in linking its services with various POS systems and the high degree of freedom in building solutions, it has built up a track record of sales to a wide variety of dining and drinking establishments, particularly nationwide restaurant chains, and has established a strong position in the foodservice market.
Through collaboration between Glory, which has rolled out about 18,000 ticket vending machines, primarily to the foodservice market, and SCG, we will take maximum advantage of the resources owned by the two companies, including data and expertise, with the aim of solving the social and business management issues of our customers in the foodservice industry and offering new solution services that will help them attract customers and create new ones.

- Enhanced value-adding and market expansion for ticket vending machines and KIOSK terminals by integrating them
  with the services provided by SCG
- Provision of new services, such as customer and store analysis in response to the business management issues of dining
  and drinking establishments
- Creation of new solution services for dining and drinking establishments and retail stores through the construction
  of a joint DMP^*2
- Promotion of BOPIS® ^*3, using Glory’s existing products

3. Overview of Investment

Glory will underwrite a third-party allocation of new SCG’s shares worth 1 billion yen and purchase shares from some of SCG’s existing shareholders.

4. Schedule

(1) Conclusion of share purchase agreement: January 12, 2021
(2) Completion of transaction: January 18, 2021
